# Relai Access Terms and Conditions **Relai Group, Inc.** Version 0.24.0. Effective September 1, 2026. --- ## 1. Introduction and acceptance Relai Group, Inc., a Delaware corporation ("Relai", "we", "us", "our"), operates Relai Access. Relai Access is a platform that authorizes and records access to secured compartments, called nodes, housed in towers at physical locations called Exchange Zones. People use an application built on Relai Access to drop an item into a node, and the same person or another person opens that node later to retrieve it. These Terms and Conditions ("Terms") are a binding agreement between you and Relai. They govern your use of Relai Access, including the Relai Access web platform, the Relai Access API, the Relai Access SDK, applications operated by Relai, applications built by Relai 3 partners, and the Exchange Zones, towers, and nodes that make up the Relai network (together, the "Service"). Read these Terms before accepting them. They include a limitation of Relai's liability, an obligation for you to indemnify Relai, a waiver of your right to a jury trial, and a waiver of your right to participate in a class action. ### 1.1 How you accept these Terms You accept these Terms by clicking to accept them, by creating an account, or by using the Service in any way. Acceptance is a condition of creating an account. You cannot use the Service without accepting the version of these Terms that is current at the time. When you accept, Relai records the acceptance against your account, together with the version accepted and the date and time of acceptance. That record is Relai's evidence of your agreement. Exactly one version of these Terms is current at any time. When Relai publishes a new version, you will be asked to accept it the next time you sign in. If you decline, you will be signed out and you will not be able to use the Service until you accept. Continuing to use the Service after a new version takes effect is also acceptance of that version. ### 1.2 If you use the Service through a Relai 3 partner application Many people reach the Service through an application built and operated by a Relai 3 partner rather than by Relai. If you do, these Terms still govern your relationship with Relai, and the partner's own terms govern your relationship with the partner. Where the partner's terms conflict with these Terms on any matter concerning Relai, the Service, or Relai's rights and obligations, these Terms control as between you and Relai. Relai 3 partners are required to present these Terms to their users and to obtain agreement to them before those users create an order. A partner's failure to do so does not create rights against Relai. ### 1.3 Guest sessions Some applications allow a person to use an Exchange Zone without signing in. This is called a guest session. A person using a guest session is bound by these Terms through the notice presented in the application, and by using the Service. Because Relai has no identified account for a guest session, the Relai 3 partner operating the application is responsible and liable for all activity conducted under a guest session in its application, including fees, damage, prohibited contents, and any resulting claim. ### 1.4 These Terms supersede prior agreements These Terms, together with any addendum that applies to you, supersede and replace all prior and contemporaneous agreements, proposals, understandings, and communications between you and Relai concerning the Service, whether written or oral, including any agreement previously signed by you and Relai that covers the same subject matter. Any such prior agreement ceases to have effect on the date you accept these Terms. ### 1.5 Role-specific addenda Some roles carry additional obligations set out in an addendum. An addendum applies to you from the moment you take on the role it covers, and forms part of your agreement with Relai: - Relai Access Terms and Conditions: Relai 3 Partner Addendum - Relai Access Terms and Conditions: EZ Host Addendum - Relai Access Terms and Conditions: Affiliate Addendum A single account may hold more than one role, in which case every applicable addendum applies. Where an addendum conflicts with the body of these Terms, the addendum controls for the role it covers. In all other respects these Terms control. Relai personnel who hold platform-level administrative roles are governed by Relai's internal administrator policy rather than by an addendum to these Terms. --- ## 2. Definitions **Access link.** A single-use code or link that allows a person to open a node and retrieve the contents of an order set to open handoff mode. **Access tag.** A unique handle chosen by a user that identifies that user as the recipient of an order in directed handoff mode. **Administrator.** A person holding the owner, admin, or member role in an organization workspace on Relai Access. **Affiliate.** A payout recipient who earns a configured share of revenue tied to specific Exchange Zones or applications, under the Affiliate Addendum. **App.** An application built on Relai Access, whether operated by Relai or by a Relai 3 partner. **Contents.** Any item placed in a node. **End user.** A person who uses an App to create, drop off, or pick up an order. **Exchange Zone**, abbreviated **EZ** after first mention. A physical location in the Relai network holding one or more towers. **Fee Schedule.** Relai's published schedule of prices, fees, allowances, and payout thresholds for the Service, available at https://access.relai.us/docs/pricing and incorporated into these Terms by reference. **Guest session.** Use of an App without signing in, where the App permits it. **Handoff mode.** How an order is picked up. There are three modes: self, directed, and open. **Host**, also **EZ Host**. A business or property owner or operator that hosts one or more towers at its location under the EZ Host Addendum. **Node.** An individual secured compartment inside a tower. **Open.** A single authorized door opening. An open is the billable unit of activity on the Service. **Order.** One drop-off followed by one pick-up. An order is the unit of activity on the Service. **Partner**, also **Relai 3 partner**. A company or individual that builds or operates an App on Relai Access under the Relai 3 Partner Addendum. **Pick-up window.** The period during which an order may be picked up before late fees begin to accrue. **Relai 3.** Relai's program for partners building their own experiences on Relai Access. **SDK.** The Relai Access SDK, the client library a partner uses to open nodes from its own App. **Telemetry.** Records of access activity, including which node was opened, at what time, by which App and account, over which transport, and with what result. **Tower.** The physical structure at an Exchange Zone that houses nodes. **You.** The person or entity accepting these Terms. If you accept on behalf of a company or other organization, "you" means that organization, and you represent that you have authority to bind it. --- ## 3. Eligibility, accounts, and organizations ### 3.1 Age You must be at least 18 years old to use the Service. By accepting these Terms you represent and warrant that you are at least 18. Relai does not knowingly permit anyone under 18 to hold an account or use the Service, including through a guest session. If Relai learns that an account holder is under 18, Relai will suspend and close the account. ### 3.2 Territory The Service is offered only in the United States. Relai makes no representation that the Service is appropriate or available anywhere else, and you may not use the Service from outside the United States. ### 3.3 Account information and security You must provide accurate, current, and complete information when you create an account and keep it current. You are responsible for keeping your sign-in credentials, access links, and API keys confidential, and you are responsible for all activity that occurs under your account, whether or not you authorized it. Tell Relai at support@relai.us as soon as you suspect unauthorized use. An account is personal to the person or organization that holds it. Do not share an account or let another person use your credentials. ### 3.4 One account, several roles One email address identifies one account. A single account may hold several roles at once, for example a Relai 3 partner that also hosts an Exchange Zone. Every addendum that matches a role you hold applies to you. ### 3.5 Organizations and administrators Host, partner, and affiliate roles are held through an organization workspace. The person who creates the workspace is its owner. Owners and administrators may invite and remove members, change settings, view activity and financial records for the organization, and take actions that create charges or obligations for it. The organization is responsible for the acts and omissions of every administrator and member of its workspace, and for keeping its membership current. Removing a person from your workspace is your responsibility, not Relai's. Actions taken by an administrator bind the organization. Relai may require a host organization to be approved by Relai before its workspace becomes active, and may require a partner organization to hold an active subscription before its workspace becomes usable. ### 3.6 Relai's discretion over accounts Relai may refuse to open an account, and may suspend or close an account, under section 19. --- ## 4. The Service ### 4.1 What Relai provides Relai provides access infrastructure. Relai authorizes and records openings of nodes and operates the hardware and platform that make those openings possible. Relai does not take custody, possession, or control of anything placed in a node. Relai is not a storage company, a courier, or a fulfillment service, and no bailment, warehousing, escrow, or agency relationship is created by these Terms or by your use of the Service. Responsibility for contents stays with the person who placed them and the person entitled to retrieve them at all times. ### 4.2 How an open is authorized Relai's platform authorizes every open and issues the command that opens a node. The SDK and any App relay that command to the tower and report the result. Neither the SDK nor any App holds the keys or the command vocabulary. An App can request an open, but only Relai can authorize one. ### 4.3 Availability The Service is offered on an as-available basis. Hardware may be offline, out of service, out of battery, physically obstructed, or damaged. Wireless connections may fail. An open may fail for reasons inside or outside Relai's control. Towers and Exchange Zones may be added, moved, taken out of service, or removed, and a location that is available today may not be available tomorrow. Relai does not guarantee uninterrupted or error-free operation, the availability of any particular Exchange Zone, tower, or node, or that an open will succeed. Relai may perform maintenance, take hardware out of service, and change or discontinue features at any time. ### 4.4 Changes to the Service Relai may add, change, deprecate, or remove features, versions, plans, and interfaces. Where a change would materially reduce functionality you rely on, Relai will give reasonable advance notice where practical. --- ## 5. Orders, handoff modes, and access links ### 5.1 Orders and opens An order is one drop-off followed by one pick-up. An open is a single authorized door opening and is the billable unit. A single order normally involves more than one open. A node is assigned when an order is created or at drop-off. If the assigned node cannot be opened, you may need to use a different node or a different Exchange Zone. Relai is not liable for the consequences of a failed open beyond section 17. ### 5.2 Closing the door The person who opens a node is responsible for closing its door securely. If a door is left open or is not fully closed, the contents may be taken by someone else, and Relai is not responsible for the loss. If a door is left open, the node may be taken out of service. ### 5.3 Handoff modes Every order uses one of three handoff modes: **Self.** The person who dropped the item off retrieves it. **Directed.** The person who dropped the item off names one recipient, either by email address or by access tag. Only that recipient may pick up. **Open.** Anyone holding a valid access link may pick up. ### 5.4 Access links An access link is single use. It expires when it is redeemed and when the pick-up window ends, whichever comes first. The first person to redeem a valid access link receives the contents of the node. If you send, forward, post, or otherwise disclose an access link to anyone other than your intended recipient, that person may take the contents. You are responsible for controlling who receives an access link that you generate or hold, and Relai is not responsible for any loss arising from the sharing, interception, or onward disclosure of an access link. ### 5.5 Access tags An access tag is a handle you choose that identifies you for directed handoffs. Tags are unique and are issued on a first-come basis. Relai may refuse to issue, may reclaim, and may reassign a tag that is offensive, deceptive, misleading, impersonates another person or brand, infringes a trademark or other right, or is chosen for the purpose of resale. Relai grants no ownership in a tag. ### 5.6 Directed handoffs and recipient lookup To create a directed handoff you provide a recipient's email address or access tag. Relai confirms only whether that recipient exists and returns the minimum identity needed to complete the handoff. Relai does not let you browse or search its user base. --- ## 6. Pick-up windows, late pick-up, and long-term occupation ### 6.1 Pick-up windows Most orders have a pick-up window. The length of the window is set by the App you are using or by the choice you make when you create the order. ### 6.2 Late pick-up If an order with a pick-up window is not picked up before the window ends, a late fee accrues in escalating steps: 1. From the end of the window through four hours after it, the first step applies. 2. More than four hours and up to twelve hours after the window ends, the second step applies. 3. More than twelve hours and up to twenty-four hours after the window ends, the third step applies. The amount of each step is set out in the Fee Schedule. Only one step applies to an order, determined by when the order is picked up or, if it is not picked up, when it becomes abandoned. In an App that collects payments from end users, a late fee is charged to the signed-in person who picks up. In every other case, including a guest session and an App that does not collect payments from end users, the late fee is billed to the Relai 3 partner that operates the App. ### 6.3 Abandonment threshold Twenty-four hours after the pick-up window ends, the order is abandoned and section 7 applies. ### 6.4 Long-term occupation Where an App offers it, an order may occupy a node for an extended period under a long-term arrangement. A service fee accrues daily for the period of occupation, subject to the base amount, daily rate, and maximum accrual set out in the Fee Schedule. The fee is invoiced when the order completes. A node occupied beyond the maximum period stated in the Fee Schedule may be taken out of service, and the order treated as abandoned under section 7. --- ## 7. Abandoned contents ### 7.1 When contents are abandoned Contents are abandoned when the order becomes abandoned under section 6.3, or when occupation exceeds the maximum period under section 6.4. ### 7.2 What Relai may do Once contents are abandoned, Relai may take the node out of service, open it, remove the contents, and dispose of, donate, recycle, or destroy them at any time, at Relai's discretion and without further notice to you. Relai will make reasonable efforts to hold removed contents for a short period where that is practical, so that a person who returns late has some chance of recovering them. Relai does not guarantee any holding period, does not commit to any particular period, and gives no assurance that contents will still exist or be recoverable once a node has been marked out of service. Do not rely on recovering abandoned contents. ### 7.3 Perishables and hazards Anything that spoils, leaks, melts, smells, attracts pests, or presents a hazard may be removed and disposed of immediately, whether or not the order is abandoned. Relai has no liability for perishable contents in any circumstance. ### 7.4 Fees and costs still owed Abandonment does not cancel amounts you already owe. Late fees, occupation fees, and order charges remain payable. You are also responsible for Relai's reasonable costs of removing contents and of cleaning, repairing, or replacing a node, tower, or Exchange Zone made unusable by your contents, and Relai may invoice you for those costs. --- ## 8. Prohibited use of the Service You must not use the Service, and must not permit anyone to use the Service through your account or your App: 1. To commit, plan, further, or conceal any activity that is illegal under United States federal law, regardless of whether that activity is permitted under state, local, or tribal law. 2. To violate any applicable law, regulation, licensing requirement, or court order. 3. To transfer, distribute, sell, supply, or take receipt of anything listed in section 9. 4. To harass, stalk, threaten, defraud, or endanger any person, or to facilitate any of those things. 5. To interfere with, disable, overload, probe, or attempt to gain unauthorized access to the Service, any tower, node, or Exchange Zone, or any account other than your own. 6. To open, force, tamper with, damage, defeat, modify, or attempt to bypass any node, tower, lock, sensor, controller, or wireless interface, or to open a node you are not authorized to open. 7. To connect any device, application, or interface to Relai hardware other than an App properly authorized through Relai Access. 8. To resell, sublicense, or provide access to the Service to any third party except as expressly permitted by an addendum that applies to you. 9. To use the Service in a way that damages Relai's reputation, its relationships with hosts, or the safety of any location. Because federal law governs the list above, cannabis and cannabis products are prohibited on the Service even at Exchange Zones located in states that permit their sale or possession. --- ## 9. Prohibited contents You must not place any of the following in a node, and must not use the Service to transfer any of them. This list is illustrative and not exhaustive. 1. **Anything unlawful under United States federal law**, including controlled substances, stolen property, counterfeit goods, and material that is illegal to possess or distribute, regardless of state or local law. This includes cannabis and cannabis products. 2. **Firearms and weapons.** Firearms of any kind are prohibited without exception, as are ammunition, primers, propellants, magazines, receivers, frames, suppressors, firearm components and parts kits, imitation and replica firearms, and any other weapon. 3. **Explosives and pyrotechnics**, including fireworks, flares, blasting agents, and detonators. 4. **Harmful chemical materials and residues**, including flammable, corrosive, oxidizing, radioactive, toxic, poisonous, and infectious substances, compressed gases, pesticides, industrial solvents, and any container, tool, garment, or equipment carrying residue of such a substance. 5. **Prescription medication.** Prescription medication is prohibited unless the party placing or receiving it holds every regulatory approval, license, and registration required for that activity and has obtained Relai's express written consent in advance. Controlled substances are prohibited in all cases and no consent will be given for them. 6. **Alcohol, tobacco, vaping products,** and other nicotine products. 7. **Live animals and any other living thing.** 8. **Biological waste, medical waste,** clinical specimens, sharps, needles, bodily fluids, human or animal tissue, and human remains. 9. **Loose lithium cells,** loose or unprotected cells, and damaged, swollen, or recalled batteries, and any battery not installed in the device it powers. 10. **Perishable items** that will spoil, thaw, or degrade before the pick-up window ends, and anything requiring refrigeration, heating, or temperature control. Nodes are not climate controlled for contents. 11. **Anything that exceeds the size or weight limits of the node,** anything that prevents a door from closing, and anything that damages, marks, or contaminates the node. You are solely responsible for the contents you place in a node and for ensuring that they are lawful and permitted. Placing prohibited contents is a material breach of these Terms. --- ## 10. Inspection, removal, telemetry, and law enforcement Relai reserves the right, at its sole discretion and without notice to you, to: 1. Inspect the contents of any node; 2. Remove and dispose of contents that are prohibited, unsafe, unlawful, or abandoned; 3. Preserve, retain, and produce telemetry, account records, order records, and any other information in its possession; and 4. Report any matter, and disclose any information and contents, to law enforcement, regulators, or other authorities. Relai will exercise these rights where it believes doing so is necessary or appropriate to comply with law, respond to legal process, protect the safety of any person or property, protect the integrity of the Relai network, or investigate suspected breach of these Terms. A host may be required to permit or assist with an inspection or removal at its location. Relai has no duty to inspect any node, to detect prohibited contents, or to intervene, and the rights in this section create no obligation and no expectation that Relai will do so. --- ## 11. Fees, billing, and payment ### 11.1 The Fee Schedule Prices, fees, allowances, thresholds, and revenue share percentages for the Service are set out in the Fee Schedule at https://access.relai.us/docs/pricing, which forms part of these Terms. The Fee Schedule is the authoritative statement of amounts. No amount is fixed by these Terms. ### 11.2 Prices change Relai may change the Fee Schedule at any time. A change takes effect for billing periods, orders, and opens beginning after the change is published. You agree to pay the amounts actually billed to you and invoiced to you under the Fee Schedule in force at the relevant time, whether or not you reviewed the Fee Schedule beforehand. If you do not accept a change, your remedy is to stop using the Service and, where applicable, to cancel your subscription. Relai will give at least thirty days notice before a change that increases a recurring subscription price takes effect for you. ### 11.3 Payment processing Payments and payouts are processed by Stripe. Relai does not store or handle full payment card numbers. Your use of payment features is also subject to Stripe's terms, and Relai is not responsible for Stripe's acts, omissions, or availability. You authorize Relai and Stripe to charge your saved payment method for all amounts you owe, including subscription fees, metered usage, overage, add-ons, order charges, late fees, occupation fees, and costs recoverable under section 7.4. ### 11.4 Authorizations and capture For orders that carry an end-user charge, Relai may authorize an amount on your payment method when the order is created or at drop-off, and capture the final amount when the order completes. Where the charge depends on elapsed time, the final amount is calculated when the order completes and may be more or less than the amount authorized. ### 11.5 Taxes Amounts are exclusive of tax unless stated otherwise. Relai collects and remits United States sales and use tax where it is required to do so. You are responsible for all other taxes arising from your use of the Service and from amounts you earn through it. ### 11.6 Invoices, late payment, and suspension Invoices are due within thirty days of issue unless Relai agrees otherwise in writing. Amounts not paid when due may bear interest at two percent per month, or the maximum rate permitted by applicable law if that is lower, calculated from the due date until paid. Relai's usual response to non-payment is suspension of the Service, and Relai may suspend some or all of your access, your organization's workspace, and your Apps without further notice while any amount is overdue. Suspension does not relieve you of amounts owed. Relai may also recover its reasonable costs of collection. If you believe an invoice is wrong, tell Relai at support@relai.us within thirty days of the invoice date, with enough detail to identify the disputed item. Undisputed amounts remain due. ### 11.7 Refunds, reversals, and disputes Refunds are at Relai's discretion except where law requires otherwise. If a payment is refunded, reversed, charged back, or successfully disputed, Relai will reverse the earnings that were booked against it, and may recover the reversed amount from the recipient under section 12.4. If you dispute a charge with your card issuer rather than raising it with Relai, Relai may suspend your account while the dispute is open. ### 11.8 Revenue share Revenue from billable opens is divided between Relai, the Relai 3 partner whose App generated the order, the host of the Exchange Zone, and any affiliate with an assignment covering that Exchange Zone or App. The shares are configured per plan and per assignment, are stated in the Fee Schedule and in the applicable addendum, and may change. No percentage is fixed by these Terms. --- ## 12. Payouts This section applies to hosts, affiliates, and partners who receive money through the Service. ### 12.1 Stripe Connect Payouts are made through Stripe Connect. Before Relai releases any payout you must complete Stripe Connect onboarding in full, including any identity and tax information Stripe requires. Payouts are held until onboarding is complete and remain held whenever Stripe reports that your account cannot receive funds. Relai does not collect tax documentation itself and relies on Stripe for it. ### 12.2 Accrual and timing Earnings accrue as billable opens occur and become payable once the underlying payment has settled. Relai may set and change payout frequency, minimum payout amounts, and a per-payout fee deducted from the amount transferred, as stated in the Fee Schedule. ### 12.3 Records Relai's records of opens, orders, earnings, reversals, and payouts are the system of record for calculating amounts due to you. Raise any discrepancy at support@relai.us within thirty days of the payout or statement concerned. ### 12.4 Negative balances If reversals, refunds, chargebacks, fees, or corrections exceed your accrued earnings, your balance becomes negative. Relai will offset a negative balance against future earnings and will hold payouts while the balance is negative. If your balance remains negative and you have no further earnings, you must settle the shortfall on request, and Relai may charge your payment method for it. ### 12.5 No advance or guarantee Relai does not guarantee any level of earnings, activity, or payout. Nothing in these Terms is a promise of revenue. --- ## 13. Content, conduct, and communications You are responsible for everything you submit to the Service, including account details, organization and App names, access tags, order notes, images, support messages, and anything your App displays to its users. Do not submit anything unlawful, infringing, deceptive, hateful, harassing, obscene, or harmful, and do not impersonate any person or organization. You grant Relai a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display what you submit, for the purpose of operating, supporting, securing, and improving the Service. You keep whatever rights you already held. Relai may remove or refuse anything submitted to the Service, and may withhold or reclaim a name, handle, or tag, at its discretion. Relai will send you operational messages about your account, orders, billing, and the Service. These are part of the Service and you cannot opt out of them while you hold an account. --- ## 14. Intellectual property Relai and its licensors own all rights in the Service, including the Relai Access platform, the API, the SDK, firmware, hardware designs, towers, nodes, wireless protocols, documentation, telemetry, and all software and systems that support them, together with all Relai and Exchange Zones trademarks, names, logos, and other brand assets. You receive only the limited rights expressly granted in these Terms and in any addendum that applies to you. Nothing is transferred to you. You must not, and must not permit anyone else to: 1. Reverse engineer, decompile, disassemble, or attempt to derive the source code, wireless protocol, command format, or cryptographic material of any part of the Service, including firmware and the SDK; 2. Copy, modify, translate, or create derivative works of any part of the Service; 3. Rent, lease, lend, sell, sublicense, or redistribute any part of the Service; 4. Remove or obscure any proprietary notice; or 5. Use Relai's trademarks, names, or logos except as expressly permitted in writing, or in the case of partners, as permitted by the applicable addendum and Relai's brand guidelines. If you give Relai feedback, suggestions, or ideas about the Service, Relai may use them for any purpose without obligation or compensation to you. --- ## 15. Privacy and data ### 15.1 Privacy Policy Relai's handling of personal information is described in the Relai Privacy Policy at https://www.relai.us/legal/privacy-policy. The Privacy Policy is maintained and updated separately from these Terms. Read it before you use the Service. ### 15.2 What the Service records Operating the Service requires Relai to collect and keep records including: your email address and account details; your organization and membership records; order records, including which Exchange Zone and node were used and the handoff mode; telemetry, including which node was opened, at what time, by which account and App, over which transport, and with what result; access link and access tag activity; sign-in and authentication events; support correspondence; and payment and payout records held by and shared with Stripe. Guest sessions are not attributed to a named person. They are recorded against a single guest identity belonging to the App that permitted the session. ### 15.3 Who sees what Relai shares operational and financial records with the parties who need them: the Relai 3 partner whose App generated an order, the host of the Exchange Zone where the activity occurred, and any affiliate with an assignment covering it. What each party sees is limited to their own activity. Relai also uses aggregated and de-identified data for monitoring, security, benchmarking, and improving the Service. ### 15.4 Retention When your account is closed, Relai purges your profile and your order history. Relai retains financial records, tax records, payout records, audit records, and records of your acceptance of these Terms for as long as applicable law requires it to do so, and retains aggregated and de-identified data that no longer identifies you. Do not treat the Service as a record-keeping system. Export anything you need before you close your account. --- ## 16. Disclaimers The Service is provided "as is" and "as available", with all faults and without warranty of any kind. To the fullest extent permitted by law, Relai disclaims all warranties, express, implied, statutory, and otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement, and any warranty arising from course of dealing or usage of trade. Relai does not warrant that the Service will be uninterrupted, secure, timely, or error-free, that any Exchange Zone, tower, or node will be available or functional, that an open will succeed, that contents will remain secure or undamaged, or that any defect will be corrected. Relai is not responsible for anything a Relai 3 partner, host, affiliate, or other user does or fails to do, for the contents any person places in a node, or for the acts or omissions of Stripe or any other third party. Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions this section applies to the greatest extent permitted. --- ## 17. Limitation of liability To the fullest extent permitted by law: **17.1 Excluded damages.** Neither party is liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or lost or corrupted data, however caused and on any theory of liability, even if advised of the possibility of such damages. **17.2 Cap on total liability.** Relai's total liability under or in connection with these Terms and the Service, for all claims taken together, shall not exceed the total amount you paid to Relai in the four months immediately preceding the event giving rise to the claim. Where you have paid Relai nothing in that period, Relai's total liability is zero. **17.3 Contents.** The cap in section 17.2 also applies to any claim concerning contents that are lost, stolen, damaged, destroyed, removed, disposed of, or taken by another person, including contents taken through a shared access link and contents disposed of under section 7. No separate or additional amount is available for contents. **17.4 Scope.** These limits apply to all claims, whether in contract, tort, negligence, strict liability, statute, or otherwise, and apply even if a limited remedy fails of its essential purpose. They do not apply to liability that cannot be limited or excluded under applicable law. **17.5 Basis of the bargain.** The prices for the Service reflect this allocation of risk. Without it, the Service would be priced differently or would not be offered. --- ## 18. Indemnification You will indemnify, defend, and hold harmless Relai, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: 1. Your use of the Service, and any use of the Service through your account, your organization, or your App, including by your end users and by guest sessions in your App; 2. Contents you placed in a node, or contents placed or retrieved through your account or your App; 3. Your breach or alleged breach of these Terms, of any addendum, or of any law or regulation; 4. Any content, branding, statement, or material you supplied; 5. Any dispute between you and another user, an end user, a host, a partner, an affiliate, or any third party; and 6. Your infringement or misappropriation of any right of a third party. Relai will notify you of any claim for which it seeks indemnity, and you will control the defense and settlement, except that you may not settle any claim in a way that imposes an obligation or admission on Relai without Relai's prior written consent. Relai may participate in the defense with counsel of its own choosing at its own expense. --- ## 19. Suspension and termination ### 19.1 By you You may stop using the Service at any time and may close your account from your account settings, subject to any minimum term or notice period in an addendum that applies to you. Closing your account does not cancel amounts you owe. ### 19.2 By Relai Relai may suspend or restrict your access to the Service, your organization's workspace, or any App, and may close your account, at any time, with or without cause, and with or without notice. Relai will normally act on notice where circumstances allow, and will act immediately where it believes there is a risk to safety, to the network, to another user, or of a violation of law. ### 19.3 Recovery window Where Relai suspends an account, Relai will normally allow thirty days during which the account can be restored before it is closed. This window does not apply where Relai closes an account immediately for prohibited contents, prohibited use, tampering, fraud, risk to safety, or a legal requirement. ### 19.4 Non-payment Where a Relai 3 partner's subscription goes unpaid, Relai may suspend the partner's Apps. If the amount remains unpaid for thirty days after suspension, Relai may delete those Apps and their configuration. ### 19.5 Effect On termination, your right to use the Service ends immediately, open orders may be cancelled, contents remaining in nodes may be treated as abandoned under section 7, API keys and credentials are revoked, and Apps may be disabled. Amounts you owe become immediately due. Relai will pay out earnings properly accrued and not subject to reversal, less any amount you owe and any negative balance. Sections that by their nature should survive termination do survive it, including sections 1.4, 7.4, 9, 10, 11, 12.4, 14, 15.4, 16, 17, 18, 21, and 22. --- ## 20. Changes to these Terms Relai may change these Terms and any addendum. Relai will publish the new version and, for a material change, will give at least thirty days notice before it takes effect, by email to the address on your account or by notice within the Service. When a new version takes effect you will be asked to accept it the next time you sign in. If you decline, you will be signed out and your access ends until you accept. Continuing to use the Service after a new version takes effect is acceptance of it. If a change is required by law or is needed to address a security or safety risk, it may take effect immediately. --- ## 21. Governing law, venue, and waivers ### 21.1 Governing law These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws rules. ### 21.2 Exclusive venue Any action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania. You and Relai each consent to the personal jurisdiction of those courts and waive any objection to venue there, including any objection based on inconvenient forum. ### 21.3 Jury trial waiver **You and Relai each knowingly and voluntarily waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Service.** ### 21.4 Class action waiver **You and Relai each agree that any claim will be brought only in an individual capacity, and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, coordinated, or representative proceeding. Neither you nor Relai may join or consolidate claims with those of any other person, and no court may consolidate more than one person's claims or preside over any form of representative or class proceeding.** If this section is held unenforceable as to a particular claim, that claim shall be severed and heard in court, and the remainder of this section shall continue to apply to all other claims. ### 21.5 No arbitration These Terms contain no agreement to arbitrate. Disputes are resolved in the courts identified in section 21.2. --- ## 22. General provisions **22.1 Entire agreement.** These Terms, together with the Fee Schedule, the Privacy Policy, and every addendum that applies to you, are the entire agreement between you and Relai concerning the Service, and supersede all prior agreements as set out in section 1.4. **22.2 Assignment.** You may not assign or transfer these Terms, or any right or obligation under them, without Relai's prior written consent, and any attempt to do so is void. Relai may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. **22.3 Force majeure.** Neither party is liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including acts of God, natural disaster, severe weather, fire, flood, epidemic or pandemic, war, terrorism, civil disturbance, labor disruption, failure of utilities, network or telecommunications failure, and act of government. Payment obligations are not excused by this section. If such a circumstance continues for more than thirty days, either party may terminate on thirty days written notice. **22.4 Severability.** If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be, severed, and the remaining provisions shall continue in full force. **22.5 No waiver.** Relai's failure or delay in enforcing any provision is not a waiver of it. A waiver is effective only if made in writing by Relai. **22.6 Independent parties.** Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and Relai. Neither party may bind the other. **22.7 Notices.** Relai may give notice to you by email to the address on your account, by notice within the Service, or by posting to the Relai Access platform. Notice is effective when sent or posted. You must give notice to Relai in writing, either by email to support@relai.us or by mail to Relai Group, Inc., 1209 Orange Street, Wilmington, DE 19801. Notice by mail is effective on receipt. **22.8 Third parties.** These Terms create no rights for anyone who is not a party to them. **22.9 Interpretation.** Headings are for convenience only. "Including" means "including without limitation". References to a section are to a section of these Terms unless stated otherwise. **22.10 Government users.** The Service is a commercial item. Any use by or for the United States government is subject to these Terms and to the restrictions on commercial computer software in applicable federal acquisition regulations. --- ## 23. # Relai Access Terms and Conditions: Relai 3 Partner Addendum **Relai Group, Inc.** Version 0.24.0. Effective September 1, 2026. --- ## P1. Scope This addendum applies to you if you build, operate, or maintain an application on Relai Access as a Relai 3 partner. It is part of your agreement with Relai and is read together with the Relai Access Terms and Conditions (the "Terms"). Capitalized words have the meanings given in the Terms. Where this addendum conflicts with the Terms, this addendum controls for the partner role. Accepting the Terms while holding a partner role is acceptance of this addendum. --- ## P2. What Relai provides and what you provide Relai provides the Relai Access platform, the API, the SDK, the hardware fleet, Exchange Zone orchestration, authorization of every open, metering, billing, and payouts. You provide your App: everything your users see and use, including your own user interface, your own accounts and sessions where you keep them, your own hosting and infrastructure, your own support, and your own commercial relationship with your users. Relai has no relationship with your users except as set out in the Terms. --- ## P3. License to the SDK and API Relai grants you a non-exclusive, non-transferable, non-sublicensable, revocable license, for the term of your subscription, to install and use the SDK and to call the API solely to operate your own App in accordance with the Terms, this addendum, and the documentation at https://access.relai.us/docs. The SDK is provided in compiled, binary form. You receive no source code, no firmware, no wireless protocol specification, no command vocabulary, and no cryptographic material, and none of those will be provided to you. You must not: 1. Reverse engineer, decompile, disassemble, or attempt to derive the source, protocol, command format, or keys of the SDK, the API, firmware, a tower controller, or any node; 2. Modify, translate, or create derivative works of the SDK, or embed it in anything that circumvents Relai's authorization; 3. Distribute the SDK except as compiled into your own App; 4. Call the API other than through your own App and your own credentials; 5. Build or operate any interface to Relai hardware other than an App authorized through Relai Access; or 6. Use the Service to provide access to any third party's application, platform, or user base, or otherwise resell access to the Relai network, without Relai's prior written consent. Relai may modify, update, deprecate, or discontinue any version of the SDK or API, and may require you to upgrade to keep working with Exchange Zones and Relai Access. Relai will give reasonable notice of a breaking change where practical. You are responsible for keeping your integration current, and an integration you fail to upgrade may stop working. The SDK and API are provided with limited support. Development assistance, custom integration work, and enhanced support are available only under a separate written agreement and for additional fees. --- ## P4. Credentials, environments, and rate limits ### P4.1 Keys Relai issues publishable and secret API keys. Publishable keys identify your App. Secret keys authenticate your server and must be treated as confidential: never embed a secret key in client code, a mobile binary, a public repository, or anything you distribute. You are responsible for every call made with your keys, whether or not you authorized it, and for rotating a key you believe is exposed. Tell Relai at support@relai.us immediately if a key is exposed or misused. Relai may revoke or rotate any key at any time, without notice, where it believes the key is compromised or is being used abusively. ### P4.2 Sandbox and production Relai provides a sandbox environment for development and testing and a production environment for real activity. Sandbox activity uses simulated transport and does not open real hardware. Do not use sandbox credentials to serve real users, and do not use production credentials for testing against real hardware without a real order. Relai may reset, change, or clear sandbox data at any time. ### P4.3 Rate limits and fair use Relai applies rate limits and quotas to the API, published in the documentation and subject to change. Relai may throttle, queue, or reject requests that exceed a limit, and may suspend an App that repeatedly does so or that places disproportionate load on the platform. --- ## P5. Your responsibility for your App and your users This section is central to your relationship with Relai. **P5.1 You are responsible for everything done through your App.** You are responsible and liable to Relai for all activity, conduct, contents, charges, damage, and claims arising from or connected to your use of the Service and to your users' use of your App, including activity by your end users, your staff, your contractors, anyone using your credentials, and anyone using a guest session in your App. Relai looks to you, not to your users, for that activity. **P5.2 Guest sessions.** If you enable guest mode, you accept liability for everything done under a guest session in your App, including prohibited contents, late fees, damage, cleaning and repair costs, and any resulting claim. Guest sessions are not attributed to an identified person, so Relai has no one else to look to. **P5.3 You must present the Terms.** Before a user creates an order through your App, you must present the current Relai Access Terms and Conditions and the Relai Privacy Policy, or clear and conspicuous links to them, and obtain the user's agreement. Where your App permits guest sessions, you must present clear notice that use is subject to those documents. You must reproduce the current versions and must not alter, summarize in a misleading way, or contradict them. **P5.4 Your own terms.** You may have your own terms with your users. They must not purport to bind Relai, grant rights in the Service, contradict the Terms, or promise anything about Relai's service levels, availability, or liability. You are responsible for any inconsistency between your terms and the Terms. **P5.5 Compliance.** You are responsible for your App's compliance with all applicable law, including consumer protection, advertising, accessibility, payments, tax, privacy, and any licensing or regulatory requirement that applies to your use case. Where your use case is regulated, you must hold the necessary approvals before you go to production. **P5.6 Enforcement in your App.** You must take reasonable steps to prevent prohibited use and prohibited contents in your App, must act on reports and on notices from Relai, and must cooperate with Relai's investigations. You must be able to identify a user of your App to Relai when Relai asks, where you hold that information. **P5.7 Application security.** You are solely responsible for the security of your App, your infrastructure, your authentication and authorization, and your handling of your users' data. Relai is not responsible for any vulnerability, incident, breach, or failure originating in your code, your configuration, or your infrastructure. Tell Relai promptly about any incident that affects the Service, Relai data, or access to Exchange Zones. --- ## P6. Subscriptions, opens, and add-ons ### P6.1 Plans and subscriptions Access to the production environment requires an active subscription on one of Relai's published plans. Plans, their monthly prices, their included allowances, and their overage treatment are set out in the Fee Schedule at https://access.relai.us/docs/pricing. Subscriptions are billed monthly in advance through Stripe and renew automatically until cancelled. Relai may add, change, archive, or retire plans. Where Relai retires a plan you are on, Relai will give at least thirty days notice and will identify the plan that replaces it. ### P6.2 Opens and overage An open is the billable unit. Each plan includes a monthly allowance of opens. Opens beyond the allowance are billed as overage where your plan permits overage, at the rate in the Fee Schedule. Where your plan does not permit overage, opens may be refused once the allowance is exhausted until you purchase more or your allowance resets. You may purchase additional opens in advance where Relai offers them. Purchased opens are consumed after your included allowance. Purchased opens are not refundable and, unless the Fee Schedule says otherwise, do not expire while your subscription is active. Simulated opens in the sandbox are not billed. Relai debits an open when it authorizes the opening, not when the hardware confirms it. Where a real open fails for a hardware reason, contact Relai at support@relai.us and Relai will review the telemetry and credit the open where the failure was on Relai's side. Relai may refuse to authorize an open while your account is overdue, suspended, or carrying an unsettled negative balance. ### P6.3 Exchange Zone allowances and add-ons Each App includes access to a number of public Exchange Zones, stated in the Fee Schedule. Access to further public Exchange Zones is available as a monthly add-on per Exchange Zone. Reserving an Exchange Zone or specific nodes for the exclusive use of your App is available as a monthly fee per node. Add-on prices are in the Fee Schedule. Exclusive reservation is subject to availability, to the host's agreement, and to Relai's discretion. Relai does not guarantee that any particular Exchange Zone can be reserved, and may end a reservation where a tower is removed, relocated, or taken out of service, or where the host arrangement ends. Where Relai ends a reservation for a reason other than your breach, Relai will pro-rate the fee for the unused part of the period. Access to Exchange Zones outside your allowance and to Exchange Zones added to the network later is not automatic and requires an add-on. ### P6.4 Override access links Relai can issue an override access link that opens a node outside the normal order flow, for example to resolve a stuck order or to help a user who cannot complete a pick-up. You may request override links through Relai. Each partner receives a monthly allowance of override links, after which each link is charged, at the amounts in the Fee Schedule. Override links are single use, expire, and can be revoked. Ask for one only for a legitimate operational reason. Requesting an override link to open a node whose contents you are not entitled to is a material breach of the Terms. ### P6.5 Revenue share Where an App collects payments from end users, revenue from billable opens is divided between Relai, you, the host of the Exchange Zone, and any affiliate holding an assignment covering that Exchange Zone or App. Your share is determined by your plan configuration and is stated in the Fee Schedule. Relai may change the shares, and will give at least thirty days notice before a change that reduces your share takes effect. Late fees are not shared. Where a late fee is charged, it is retained in full by Relai. ### P6.6 Fees you cannot pass on to Relai You are responsible for late fees, occupation fees, removal costs, and cleaning and repair costs attributable to your App and your users, as set out in the Terms. Relai bills these to you where they are not charged to an end user, and you agree to pay the amounts billed and invoiced. --- ## P7. End-user payments You choose whether your App collects payments from end users. If you enable end-user payments: 1. Order pricing, including duration options, base pricing, and hourly rates, is configured by you within the ranges Relai supports, and you are responsible for the prices you set and for disclosing them clearly to your users before they commit; 2. Relai authorizes and captures those charges through Stripe as described in the Terms; 3. Late fees are charged to the signed-in person who picks up, and fall back to you for guest sessions and where a charge cannot be collected; and 4. You are responsible for handling your users' billing questions in the first instance. If you do not enable end-user payments, all order charges, late fees, and occupation fees for your App are billed to you. --- ## P8. Suspension, non-payment, and deletion Relai may suspend your Apps, your keys, and your workspace where you are overdue, in breach, or where Relai believes your App or its users present a risk to safety, to the network, to a host, or of a violation of law. Where a subscription payment fails, Relai may suspend your Apps. If the amount remains unpaid for thirty days after suspension, Relai may delete those Apps and their configuration, including keys, Exchange Zone assignments, and webhook endpoints. Deletion is not reversible. Order and financial records are retained as described in the Terms. Relai may revoke a key immediately, without notice, for suspected compromise or abuse. --- ## P9. Branding and public statements You are not required to display Relai branding in your App. If you choose to reference Relai or Exchange Zones, in your App, your marketing, your website, or any press material, you must follow the Relai Brand Guidelines, Partner Edition, which Relai will provide on request from support@relai.us, and you must submit copy, quotes, and visuals that name Relai or Exchange Zones to Relai for review before publication. You must not state or imply that Relai endorses your App, that Relai is responsible for your App, or that your App is operated by Relai. You must not use Relai's marks in your own App name, logo, or domain without Relai's prior written consent. --- ## P10. Custom work Any non-standard feature, integration, enhancement, hardware customization, or professional service beyond the published Relai 3 offering requires a separate written agreement with an approved scope of work and pricing, signed before work begins. Relai is not obliged to build anything, and a discussion, roadmap, or estimate is not a commitment. --- ## P11. Term and termination This addendum applies for as long as you hold a partner role. You may cancel your subscription at any time, effective at the end of the current billing period. Fees already paid are not refunded, and no partial month is credited. Relai may terminate your partner role and this addendum in accordance with the Terms. On termination your keys are revoked, your Apps are disabled, your Exchange Zone add-ons and reservations end, open orders may be cancelled, and contents remaining in nodes may be treated as abandoned. You must remove the SDK from your App and stop calling the API. Amounts you owe become immediately due. You must tell your users, in advance where you can, that your App will stop working. # Relai Access Terms and Conditions: EZ Host Addendum **Relai Group, Inc.** Version 0.24.0. Effective September 1, 2026. --- ## H1. Scope This addendum applies to you if you host one or more towers at a location you own, lease, or operate, as an EZ Host. It is part of your agreement with Relai and is read together with the Relai Access Terms and Conditions (the "Terms"). Capitalized words have the meanings given in the Terms. Where this addendum conflicts with the Terms, this addendum controls for the host role. Accepting the Terms while holding a host role is acceptance of this addendum. Relai must approve your host organization before your workspace becomes active and before any tower is installed. --- ## H2. Hosting You agree to receive and keep one or more towers at each location you and Relai agree on, for the hosting period you and Relai agree on, and to comply with this addendum for that period. Each location and hosting period is recorded in Relai Access. The particular locations, the number of towers, the node configuration, and the hosting period applicable to you are those recorded for your organization, as amended from time to time by written agreement between you and Relai. Relai owns every tower, node, controller, lock, sensor, wireless module, and other item of hardware, and owns all firmware and software in them. You receive no ownership, security interest, lien, or other interest in any of it, and must not assert one. Hardware placed at your location is not a fixture, is not part of your premises, and must not be treated as your asset, pledged, or transferred with your property. You must not permit any lien, levy, or claim to attach to Relai hardware, and must tell Relai immediately if anyone attempts it, including a landlord, lender, or creditor. --- ## H3. Placement Each tower must be placed in a position approved by both you and Relai. In agreeing a position, Relai and you will consider visibility and ease of access for users, protection from weather and physical damage, proximity to power and connectivity where the unit needs them, and compliance with building codes, fire codes, accessibility requirements, and zoning rules. Once a tower is installed you must not move it, rotate it, reposition it, or change its orientation without Relai's prior written consent. Relai may propose a better position based on usage data and user feedback, and will not move a tower without telling you. You are responsible for confirming that hosting is permitted at your location, including obtaining any consent required from your landlord, property manager, owners association, insurer, or local authority, before installation. You must tell Relai in advance about any site restriction, lease term, permit requirement, or access limitation that affects installation or operation. --- ## H4. Installation Relai or its designated contractors carry out installation. You agree to: 1. Give reasonable access to the premises before, during, and after installation; 2. Clear obstructions from the installation area; 3. Coordinate with your site staff and property managers so the work is safe and compliant; and 4. Tell Relai in advance of site-specific limitations, restrictions, and hazards. Installation may briefly disturb the surrounding area. Relai will use commercially reasonable efforts to minimize disruption and to leave the site clean and operable. --- ## H5. Your operational obligations You will: 1. Keep clear, safe, and unobstructed access to each tower during the hours you told Relai the location is accessible, and tell Relai promptly if those hours change; 2. Keep the area around each tower clean, lit, and free of hazards; 3. Provide power and, where the installation needs it, network connectivity, at your cost, unless Relai agrees otherwise in writing; 4. Keep signage supplied or approved by Relai clean, legible, and in the position Relai specifies; 5. Tell Relai promptly of any fault, damage, vandalism, graffiti, obstruction, spill, odor, leak, pest activity, power loss, or connectivity loss affecting a tower; 6. Tell Relai promptly of any incident, injury, complaint, inspection, or claim connected to a tower; and 7. Give Relai at least thirty days notice before any change at the location that affects hosting, including renovation, closure, change of ownership, change of tenancy, or sale of the property. You must not charge any person a fee for using, approaching, or accessing a tower, and must not condition access on a purchase, membership, or other requirement, unless Relai agrees in writing. --- ## H6. Do not touch the hardware You must not relocate, reposition, disconnect, open, service, modify, tamper with, or interfere with any tower or node, and must not attempt to open a node or access its contents. Any such action may occur only: 1. With Relai's prior written consent; or 2. Under the direct on-site supervision of Relai's authorized personnel. In an emergency such as fire, flood, or structural hazard, tell Relai immediately and take temporary precautions that do not involve physically moving the unit, unless moving it is unavoidable to protect the safety of any person. Tell Relai as soon as possible afterwards. Unauthorized relocation, tampering, or interference is a material breach and may result in termination, charges for equipment damage, and both. You must not connect any third-party device, application, or interface to Relai hardware, and must not use any application to open a node other than an App authorized through Relai Access. Relai may take a tower or node out of service at any time, remotely or on site. --- ## H7. Contents and safety at your location You have no right to inspect or take the contents of a node except where Relai directs or permits it under section 10 of the Terms, or where an emergency and applicable law require it. Where Relai exercises its rights of inspection or removal under section 10 of the Terms, you will permit and reasonably assist with that access. Where you become aware of prohibited contents, suspected unlawful activity, or a safety hazard involving a node, tell Relai immediately at support@relai.us and do not attempt to resolve it yourself. Relai has no duty to inspect, and hosting a tower does not make you responsible for the lawfulness of contents placed by others, provided you comply with this addendum and act on notices from Relai. --- ## H8. Relai's access to your site Relai personnel and certified contractors may need to visit for preventive maintenance, software or hardware upgrades, testing and diagnostics, battery replacement, hardware repair or replacement, installation of additional units, and removal. Relai will make reasonable efforts to give advance notice and to coordinate with you to minimize disruption. You will give timely access and reasonable support. Where a visit is needed because of your act or omission, including damage, obstruction, unauthorized movement, or loss of power or connectivity that you were responsible for providing, Relai may charge for the visit at the rates in the Fee Schedule at https://access.relai.us/docs/pricing. --- ## H9. Advertising and signage Relai retains exclusive rights to all advertising and display space on and immediately adjacent to a tower, and may display Relai branding, signage, QR codes, sponsored content from approved partners, and informational material about the Service. If you want to display co-branded or localized material on or adjacent to a tower, submit it to Relai in writing and obtain Relai's written approval first. Relai will tell you before it places advertising for products or services on or immediately adjacent to a tower at your location. Unauthorized signage, stickers, posters, notices, wraps, and graffiti on a tower are prohibited. All signage relating to Exchange Zone operation must be supplied or approved by Relai, kept clean and legible by you, and positioned according to Relai's branding and accessibility guidance. --- ## H10. Revenue share and payouts Relai will pay you a share of net revenue from billable opens at your Exchange Zone or Exchange Zones. Your share is stated in the Fee Schedule and in the configuration recorded for your organization. Relai may change the share and will give at least thirty days notice before a reduction takes effect for you. Revenue may come from Relai's own applications and from applications operated by Relai 3 partners. Relai may change which applications are enabled at your location, and may add or remove applications from the network, on thirty days notice. Late fees are retained in full by Relai and are not shared. Payouts are made through Stripe Connect, subject to section 12 of the Terms. You must complete Stripe Connect onboarding, including any tax information Stripe requires, before Relai releases a payout, and payouts are held until you do. Minimum payout amounts and the per-payout fee deducted from the amount transferred are in the Fee Schedule. Relai's records of opens, orders, earnings, reversals, and payouts are the system of record. Raise any discrepancy within thirty days of the payout or statement concerned. Relai does not guarantee any level of activity, revenue, or payout at your location. --- ## H11. PORTAL PORTAL was Relai's earlier operational backend. It is legacy and is no longer the system of record. Its functions are provided by Relai Access. Where an earlier agreement or communication required you to hold a PORTAL subscription, that requirement no longer applies, and no separate subscription fee is charged to hosts for access to Relai Access. Fees that do apply to you are in the Fee Schedule. --- ## H12. Insurance Relai recommends, but does not require, that you carry general liability insurance and property insurance appropriate to your premises and that your policies do not exclude equipment belonging to others located on your property. Relai insures its own hardware. You are not required to insure Relai hardware and are not liable for ordinary wear, or for damage caused by third parties or by Relai, but you remain liable for damage caused by your own act or omission, including unauthorized movement or tampering. Tell Relai if your insurer objects to the presence of a tower. --- ## H13. Additional towers and changes Relai may propose additional towers or hardware changes at your location, including units of different sizes or node configurations, units for particular partner integrations, and pilot deployments. You may request additions. Relai decides. Every addition must be recorded in writing and executed by Relai personnel. Additional compensation or upgrades may be agreed case by case. --- ## H14. Removal and termination ### H14.1 Relai may remove at any time Relai may remove any tower from your location at any time, with or without cause, on reasonable notice where circumstances allow. ### H14.2 If you want to stop hosting Give Relai at least thirty days written notice. If you end hosting before the agreed hosting period concludes, Relai may charge an early termination fee of $2,500, to cover dismantling, transportation, and equipment depreciation. ### H14.3 Wind-down On termination, you will continue to house the hardware safely and give Relai clear and timely access until removal is complete. You must not move, store elsewhere, dispose of, or withhold hardware. Contents remaining in nodes will be handled under section 7 of the Terms. Relai will pay out earnings properly accrued and not subject to reversal, less any amount you owe, any negative balance, and any fee under section H14.2. ### H14.4 If hardware is damaged or lost You are responsible for the cost of repair or replacement of hardware damaged or lost as a result of your act or omission, including unauthorized movement, tampering, or failure to give notice of a hazard you knew about, at the rates in the Fee Schedule. --- ## H15. Additional agreements Relai may ask you to sign a separate written agreement for a particular site, deployment, exclusivity arrangement, revenue arrangement, or pilot. Where you and Relai sign such an agreement after you accept these Terms, and it expressly states that it prevails over this addendum, it prevails to the extent of the conflict. # Relai Access Terms and Conditions: Affiliate Addendum **Relai Group, Inc.** Version 0.24.0. Effective September 1, 2026. --- ## A1. Scope This addendum applies to you if Relai has given you an affiliate role. It is part of your agreement with Relai and is read together with the Relai Access Terms and Conditions (the "Terms"). Capitalized words have the meanings given in the Terms. Where this addendum conflicts with the Terms, this addendum controls for the affiliate role. Accepting the Terms while holding an affiliate role is acceptance of this addendum. --- ## A2. The affiliate program is not open for enrollment The affiliate program is not available for self-serve signup. You cannot apply for an affiliate role, and holding another role does not give you one. Relai creates affiliate organizations and grants affiliate roles at its own discretion. Relai may open, change, restrict, or close the program at any time. --- ## A3. What an affiliate is An affiliate is a payout recipient. You earn a share of revenue from billable opens at the Exchange Zones and in the applications that Relai has assigned to you. You are not a referral agent, a reseller, a distributor, or a sales representative. An affiliate role is earn-only. It carries no subscription and no fee payable to Relai, and it does not give you access to Relai's platform beyond your own dashboard, your assignments, and your own earnings and payout records. --- ## A4. Assignments Your earnings come from assignments. An assignment links your organization to a specific Exchange Zone, a specific application, or both, and sets your share. 1. Relai creates, changes, and removes assignments. You cannot create one. 2. Every assignment is set by Relai in writing and recorded in Relai Access, and only what is recorded there is effective. Nothing said in conversation, correspondence, or negotiation creates an assignment or a share. 3. Your share is carved out of Relai's own share of revenue, not out of the share of the Relai 3 partner or the host. Your share cannot exceed Relai's share. 4. Relai may change or remove an assignment at any time, at its discretion. Where a change reduces your share or removes an assignment, Relai will give at least thirty days notice, except where it is acting because of your breach, in which case it may act immediately. 5. Earnings accrue only from billable opens occurring while an assignment is in effect. Removing an assignment does not affect earnings already accrued and not subject to reversal. Relai does not guarantee any level of activity, revenue, or payout, at any Exchange Zone or in any application, and an assignment is not a promise of earnings. --- ## A5. Payouts Payouts are made through Stripe Connect, subject to section 12 of the Terms. You must complete Stripe Connect onboarding in full, including any identity and tax information Stripe requires, before Relai releases any payout. Payouts are held until onboarding is complete and remain held whenever Stripe reports that your account cannot receive funds. Relai does not collect tax documentation itself. Minimum payout amounts, payout frequency, and the per-payout fee deducted from the amount transferred are set out in the Fee Schedule at https://access.relai.us/docs/pricing. Where a payment is refunded, reversed, charged back, or successfully disputed, Relai reverses the earnings booked against it, including your share. If reversals exceed your accrued earnings your balance becomes negative, payouts are held, and section 12.4 of the Terms applies. Relai's records of opens, orders, earnings, reversals, and payouts are the system of record for amounts due to you. Raise any discrepancy at support@relai.us within thirty days of the payout or statement concerned. --- ## A6. Your obligations You will: 1. Keep your organization details, banking details, and Stripe Connect information current; 2. Keep the terms of your assignments, your share, and your earnings confidential, and not disclose them to any partner, host, or other affiliate; 3. Make no statement about Relai, the Service, Exchange Zones, or any partner or host that is inaccurate, misleading, disparaging, or unapproved, and follow the Relai Brand Guidelines, Partner Edition, in any material that names Relai, available from support@relai.us; and 4. Comply with all applicable law, including any disclosure required when you promote a paid relationship. You have no authority to bind Relai, to make any commitment on Relai's behalf, to negotiate with hosts or partners on Relai's behalf, to represent yourself as Relai's agent, employee, or representative, or to hold yourself out as able to grant access to the Relai network. You must not solicit or accept any payment from a host, partner, or end user in connection with the Service. --- ## A7. Independent status You are an independent contractor. This addendum creates no employment, partnership, joint venture, franchise, or agency relationship. You are responsible for your own taxes, expenses, and any benefits, and receive none from Relai. --- ## A8. Term and termination This addendum applies for as long as you hold an affiliate role. Either you or Relai may end the affiliate role at any time, for any reason, on written notice. Relai may end it immediately for breach of the Terms or of this addendum, for conduct that harms Relai or its partners or hosts, or where required by law. On termination all assignments end and no further earnings accrue. Relai will pay out earnings properly accrued and not subject to reversal, less any amount you owe and any negative balance, once the minimum payout amount is met. Sections A5, A6, A7, and this section survive termination, along with the surviving sections of the Terms. --- ## A9. Future program terms Relai expects to publish fuller affiliate program terms as the program develops. Those terms will be published as a new version of this addendum under section 20 of the Terms, and you will be asked to accept them before you continue.
